SINGLE SUITE TERMS AND CONDITIONS
Any modifications or changes to these Terms and Conditions are prohibited, shall be null and void, and shall not amount to a counteroffer. Seattle Sounders FC (“Team”) will not accept any such modifications or changes. By purchasing this suite, you (“Licensee”) are consenting to these Terms and Conditions as originally presented.
Single Match Suite License Fee. The entire License Fee is due upon execution of this License. A valid credit card (MC/VISA/AMEX) must be kept on file through the Match Date. Only individuals holding tickets designated as “Suite Tickets” for the Match will be admitted to the Suite during the Match. The Team shall provide to Licensee the number of admission tickets equal to the Suite Capacity for access to Lumen Field and the Suite for the Match. Licensee recognizes and agrees the total tickets for the Suite includes both tickets for seats within the Suite and standing room only tickets for the Suite. If this Suite is entitled any parking passes for the Match Date, then any vehicle must conform to reasonable requirements of the Team as to size, including height. Such parking shall be available beginning a reasonable period preceding the published Match kickoff time, which shall be at least 90 minutes prior, through a reasonable period following the conclusion of such Match. The parking passes provided constitute separate revocable licenses and the Parking Area operator rules must always be followed, including those, if any which appear on the parking pass itself. Licensor is not responsible for any lost, damaged, or stolen property of Licensee or its invitees or guests. For reasons including the protection of Licensee and invitees of Licensee, the Team retains the right to control access to all the Suites at Lumen Field. Licensee acknowledges that this License is merely a license permitting Licensee limited access to the Suite. Access to the Suite and/or Club Levels shall be allowed only to persons holding appropriate tickets or passes. The Team shall have no obligation to provide security for the Suite and shall have no liability related thereto.
Ticket Policies. Licensee and its guests or invitees shall always be bound by the current ticket policies governing entry and enjoyment of the Match that apply to all ticket holders and as such may from time to time be adopted and amended by the Team, First & Goal, Inc., Lumen Field or their agents and assignees. Behavior which violates any of these rules and Terms and Conditions may result in removal from Lumen Field and an individual or group being banned from future matches or events taking place at Lumen Field. If Licensee or any of its guests or invitees are ejected from the Match, no refund shall be issued for those tickets or any portion of the Suite License Fee. Except for ordinary wear and tear, Licensee shall keep the Suite in good repair, order and condition, and Licensee will reimburse the Team for the repair of any damage caused to the Suite or the Team’s property in the Suite by Licensee or any of its guests or invitees. Licensee shall abide by, and shall notify and require its guests and invitees to abide by, all applicable public laws, regulations and ordinances, governing orders, and by such policies, rules and regulations as the Team or the manager/operator of Lumen Field shall establish from time-to-time concerning the use and occupancy of the Suite, Lumen Field and Exhibition Center generally, and the Parking Area. Licensee and its invitees shall always maintain proper decorum while using the Suite. Licensee shall be responsible for its actions as well as those of its guests and invitees, including, but not limited to, actions arising from the consumption of alcoholic beverages. Should Licensee or any of its invitees create a disturbance or cause objects to be thrown or dropped from the Suite, in addition to its other remedies, the Team shall have the right to eject the parties responsible for such action, or all the persons in the Suite, from Lumen Field, in its sole and exclusive discretion. If Licensee or any of its invited guests are ejected from Lumen Field, Licensee shall not be entitled to any monetary refund or reimbursement for any portion of the Single Match Event License Fee, however, Licensee shall remain liable for any damages caused by or in connection with License or its guests’ or invitees’ use of the Suite.
Disclaimer of Liability, Risk of Loss, Indemnification. Neither the Team nor any of its agents, representatives, assignees, or associated entities shall be liable for any Liability to Licensee or any of the other Licensee Parties, and Licensee, for itself and all other Licensee Parties, hereby assumes all risk related to Liability arising out of the occupancy and use of the Suite, unless due to the gross negligence of the Team. Licensee, for itself and all other Licensee Parties including its guests and invitees, hereby releases the Team and all other Team entities from any and all Liability arising out of the occupancy and use of the Suite, and shall defend, indemnify and hold the Team and all other Team entities harmless from and against every Liability. Any dispute or claim that arises out of or relates to this License, except for suits in collection of Licensee’s unpaid License Fee, any unpaid concession charges, and invoiced and yet unpaid damages to the Suite, shall be submitted to non-binding mediation administered by the American Arbitration Association (“AAA”) under its then effective Commercial Mediation Rules, or to another mediator if the parties so agree. Thereafter, any unresolved dispute or claim arising out of or relating to this License shall be resolved by final and binding arbitration administered by the AAA, or another arbitrator if the parties so agree, in accordance with the AAA’s then effective Commercial Arbitration Rules. Notwithstanding the otherwise exclusive dispute resolution procedures set forth above, the Team may, in its sole discretion, exercise any of its self-help remedies available by law or under this License, or file suit directly in court to seek injunctive relief against Licensee or to obtain relief under all applicable forcible entry and detainer statutes. The arbitrator(s) are directed to issue a final award no more than 90 days after the initial demand for arbitration, but any failure to timely issue a final award shall neither deprive the arbitrator(s) of jurisdiction nor invalidate a subsequent award. The substantially prevailing party in any judicial or arbitration proceeding arising out of or relating to this license shall be reimbursed by the other party hereto for all costs, disbursements, expenses and attorneys’ fees (collectively, the “Costs”). Costs include, without limitation, all attorneys’ fees incurred in negotiations, mediations, arbitrations, trials, administrative proceedings, bankruptcy proceedings and any appeals from any such proceedings, as well as post-judgment collection efforts.
I agree to license the Suite at Lumen Field for the selected event and hereby agree to abide by the above identified Terms and Conditions.
